PUBLIC OFFER AGREEMENT

GENERAL PROVISIONS

1.1. The public offer of the GASANOVA brand website – a public proposal of the Seller, addressed to an indefinite circle of persons, to conclude a purchase and sale agreement with the Seller for goods via remote means through the Online Store at the website: https://gasanova.ua/en under the conditions set forth in this Offer.

1.2. Goods or Service – the object of the agreement between the parties, selected by the Buyer on the website of the Online Store and added to the cart, or already purchased by the Buyer from the Seller via remote means.

1.3. Online Store – the Seller's website at the address https://gasanova.ua/en created for the conclusion of retail and wholesale purchase and sale agreements based on the Buyer's acquaintance with the product description provided by the Seller via the Internet.

1.4. Buyer – any legally capable person who, in accordance with the procedure provided in this Agreement, has voluntarily and fully accepted (accepted) all of its terms without exception.

1.5. Seller – Sole Proprietor Yuliia Volodymyrivna Sushko (Tax ID 3149013366), location: Ukraine, 07361, Kyiv region, Vyshhorod district, Nyzhcha Dubechnya village, Prykarpatska Street, building 2.

1.6 The Seller may also be another legal entity or sole proprietor who publishes information on the Site about the goods it sells, under licensing agreements with the Owner of the Trademark Elvira Damirova (Gasanova).

1.7 The Seller's name is indicated in the product card on the website and in the documents for the transfer of the Goods to the Buyer.

1.6. All other terms not separately defined in this Agreement are understood and interpreted in their literal grammatical meaning, based on the provisions of the current legislation of Ukraine, business customs, and the purpose and subject matter of this Agreement.

CONCEPTS AND DEFINITIONS

2.1. In this proposal, unless the context requires otherwise, the terms below have the following meanings:

"Goods" - clothing, accessories, components and related items;

"Online Store" - in accordance with the Law of Ukraine "On Electronic Commerce," a means of presenting or selling goods, work, or services through an electronic transaction.

"Seller" - the company that sells the goods presented on the website.

"Buyer" - an individual who has concluded an agreement with the Seller on the terms set out below.

"Order" - the selection of individual items from the list of goods indicated by the Buyer when placing an order and making payment.

SUBJECT OF THE AGREEMENT

3.1. The Seller undertakes to transfer the Goods to the Buyer, and the Buyer undertakes to accept and pay for the Goods on the terms of this Agreement.

This Agreement governs the sale of goods in the Online Store, including:

- the Buyer's voluntary selection of goods in the Online Store;

- the Buyer's independent placement of an order in the online store;

- the Buyer's payment for the order placed in the online store;

- the processing and delivery of the order into the Buyer's ownership on the terms of this Agreement.

ORDERING PROCEDURE

4.1. The Buyer has the right to place an order for any product presented on the website of the online store and available in stock.

4.2. Each item may be included in the order in any quantity.

4.3. If a product is out of stock, a company manager is obliged to notify the Buyer of this (by phone or email).

4.4. If a product is unavailable, the Buyer has the right to replace it with a product of a similar model.

4.5. The order is placed by the Buyer by adding the product to the "Cart."

4.6. An order is considered to be duly executed if:

4.6.1. the client has filled in all the fields of the form that allow identifying the client and contacting them:

4.6.1.1. Full name;

4.6.1.2. delivery address;

4.6.1.3. contact number;

4.6.1.4. email address;

4.6.1.5. preferred payment method (payment methods are listed in clause 5.1.)

4.6.1.6. preferred method of product delivery.

ACCEPTANCE OF THE ORDER BY THE ONLINE STORE https://gasanova.ua

5.1. The manager of the online store https://gasanova.ua/en, upon receiving the order, checks the availability of the product and, if the order is placed in accordance with clause 4.6. of this Agreement, accepts the order and contacts the client to confirm the details.

5.2. From the moment the order is accepted by the online store https://gasanova.ua/en, the client has the right to withdraw from the order or make changes to the order (remove/add a product to the order, change the characteristics of the product (color, size, quantity, etc.). After payment of the invoice, changing the product in the order is not allowed.

ORDER FORMATION

6.1. The staff of the online store https://gasanova.ua/en form the order. Orders with the status "PROCESSED," formed and confirmed by 14:00, are dispatched the same day. If you place an order on a weekend or holiday, its dispatch is postponed to the first business day following the day the order was placed. Sender's city - Kyiv.

6.2. If any product is unavailable in the online store https://gasanova.ua/, the employee checks availability throughout the entire network and arranges an internal transfer after agreeing on the terms with the client. If the product is not available anywhere in the network, the manager of the online store https://gasanova.ua/en may offer the client to replace the unavailable product with any other. With the client's consent, another proposed product is added to the order.

6.3. After the order is fully formed on the website of the online store https://gasanova.ua/, the client receives a notification about the order status and the chosen payment method to the email address specified when placing the order.

ORDER PAYMENT PROCEDURE

7.1. Payment for the order is made in the following ways:

7.1.1. Cash on delivery (COD) at any Nova Poshta branch

7.1.2. Card payment online

7.1.3. Payment through the liqpay system

7.1.4. Cash payment for in-person pickup.

Attention! The commission for transferring funds through the services of the carrier company Nova Poshta is paid by the buyer. The cost of a cash-on-delivery transfer is 20 UAH + 2% of the amount (the amount of the commission is set by Nova Poshta's tariffs). When paying for an order by Visa or MasterCard on the website immediately after placing the order through the liqpay system, payment is made directly on the website page and is protected by security certificates. You only pay the cost of the product; no commission is charged for online payment.

ORDER DELIVERY TERMS

8.1. Delivery of goods within the territory of Ukraine is carried out by the "Nova Poshta" delivery service.

8.2. Delivery of goods outside the territory of Ukraine is carried out by the Ukrposhta delivery service.

WE DO NOT DELIVER TO RUSSIA OR BELARUS.

8.3. The online store-warehouse https://gasanova.ua/en is considered to have fulfilled its obligation to deliver the order at the moment it is handed over to the delivery service. The risk of loss or damage to the goods after they have been handed over to the delivery service is borne by the client.

8.4. Free delivery is carried out within the territory of Ukraine provided that the ordered goods are purchased at full retail price, i.e., the discount on the value of the goods is 0%. The terms of the personal discount system apply.

Attention! In cases where promotional offers of 5% or more apply, delivery is carried out at the buyer's expense according to the carrier company's rates.

8.5. Free delivery does not apply to the following categories: accessories, toys, promotions, and charity promotions.

8.6. Separate shipments of each product item from a single order are also paid for separately.

8.7. The Buyer also pays, at their own expense, the amount of the commission for transferring funds for the purchased goods, including the "cash on delivery" fee of the carrier company. To avoid additional commissions when paying for an order, we recommend the secure payment form directly on the website.

8.8. Dispatch of the order within Ukraine is carried out within 1-3 business days from the moment the order is received. Compliance with this term depends on the availability of the product in the online store's warehouse, as well as in the retail network of Kyiv stores.

RIGHTS AND OBLIGATIONS OF THE PARTIES:

9.1. The Seller has the right to:

- unilaterally terminate the provision of services under this agreement in the event of the Buyer's violation of the terms of this agreement.

9.2. The Buyer must:

- pay for and receive the order on time under the terms of this agreement.

9.3. The Buyer has the right to:

- place an order in the online store;

- conclude an electronic agreement;

- demand that the Seller fulfill the terms of this Agreement.

LIABILITY OF THE PARTIES

10.1. The parties are liable for non-performance or improper performance of the terms of this agreement in the manner established by this agreement and the current legislation of Ukraine.

10.2. The Seller is not liable for:

- the appearance of the Goods changed by the manufacturer;

- minor discrepancies in the color scheme of the goods, which may differ from the original product solely due to the different color rendering of individual computer monitors of individual models;

- the content and accuracy of the information provided by the Buyer when placing the order;

- delays and interruptions in the provision of services (order processing and delivery of goods) that arose for reasons beyond its control;

- unlawful actions committed by the Buyer using this access to the Internet;

- the Buyer's transfer of their network identifiers - IP, MAC address, login and password - to third parties;

10.3. The Buyer, using the access to the Internet provided to them, independently bears responsibility for damage caused by their actions (personally, even if another person was using their login) to persons or their property, legal entities, the state, or moral principles.

10.4. In the event of force majeure circumstances, the parties are released from fulfilling the terms of this agreement. Force majeure circumstances for the purposes of this agreement mean events of an extraordinary, unforeseen nature that exclude or objectively impede the performance of this agreement, the occurrence of which the Parties could not foresee and prevent by reasonable means.

10.5. The parties make every effort to resolve any disagreements exclusively through negotiations.

OTHER TERMS

11.1. The Online Store reserves the right to unilaterally make changes to this agreement, provided it is published on the website https://gasanova.ua/en/.

11.2. The Online Store was created to organize the remote sale of goods via the Internet.

11.3. The Buyer is responsible for the accuracy of the information provided when placing the order. At the same time, upon acceptance (placing the order and subsequent payment for the goods), the Buyer gives the Seller their unconditional consent to the collection, processing, storage, and use of their personal data, within the meaning of the Law of Ukraine "On Personal Data Protection."

11.4. Payment by the Buyer for the order placed in the online store means the Buyer's full agreement with the terms of the purchase and sale agreement (public offer).

11.5. The actual date of the electronic agreement between the parties is the date of acceptance of the terms, in accordance with part six of Article 11 of the Law of Ukraine "On Electronic Commerce."

11.6. The use of the online store's resources for viewing goods, as well as placing an order, is free of charge for the Buyer.

11.7. Information provided by the Buyer is confidential. The Online Store uses information about Buyers exclusively for the purpose of processing orders, sending notifications to the Buyer, delivering goods, making payments, etc.

RETURN POLICY

12.1. Return of goods is possible only at the same address where the purchase was made.

12.2. Goods of good quality, ordered on https://gasanova.ua/en, which for any reason did not fit (style, size, color), are subject to return and exchange within 14 days, not counting the day of purchase, provided:

- there are no signs of use and wear;

- the commodity and consumer properties are preserved;

- the original and undamaged packaging and label.

The cost of delivery for the return/exchange of goods is paid by the buyer *.

* Exception: manufacturing defect or mismatch (different size, color, or article number). In this case, the refund is made at our expense.

Goods of improper quality ordered on https://gasanova.ua/en (after use or with damaged labels) are not subject to exchange or return.

12.3. Return process:

12.3.1. Fill out the return form (sent by the manager at the client's request via messenger or email)

12.3.2. Send the goods and the completed form to the address indicated in it

12.3.3. Receive the money to your bank card; or in cash, if the purchase was made by self-pickup.

The refund period is within 7 business days from the moment the online store manager receives the returned item.

12.4. Product exchange process:

12.4.1. Fill out the exchange form (sent by the manager at the Buyer's request via messenger or email)

12.4.2. Send the goods and the completed form to the address indicated in it

12.4.3. To order a product for exchange, contact the online store manager.

The exchange request is sent after the online store manager receives and processes the return.

Return of goods is carried out only (!) through the "Nova Poshta" courier service to the address:

If the goods were purchased by self-pickup, you need to contact the online store manager at https://gasanova.ua/ to agree on the terms of return.

After sending the return, you must inform the online store manager of the waybill (TTN) number by phone: +380 73 000 44 64

12.5. Goods not subject to exchange and return:

- children's toys (soft, rubber, inflatable)

- hosiery products.

If the product is not subject to exchange and return, the product is returned at the buyer's expense. In case of non-compliance with the conditions established by this clause, the Online Store https://gasanova.ua/en has the right to refuse to satisfy a claim regarding the shortage of any product.

CONTRACT TERM

13.1. An electronic agreement is considered concluded from the moment the person who sent the proposal to conclude such an agreement receives a response of acceptance of such a proposal, in the manner determined by part six of Article 11 of the Law of Ukraine "On Electronic Commerce."

13.2. Before the expiration of its term, this Agreement may be terminated by mutual agreement of the parties before payment for the goods; after payment, the agreement cannot be terminated.

13.3. The parties have the right to unilaterally terminate this agreement in the event of non-performance by one of the parties of the terms of this agreement and in cases provided for by the current legislation of Ukraine.
